Naturally Amish, operating under Simulated Environment Concepts, Inc. (OTC: SMEV), has taken a significant step toward vertical integration by signing a binding Letter of Intent (LOI) and placing a $25,000 deposit to acquire a fully operational, USDA-inspected livestock slaughter and meat processing facility in the Midwest. This strategic move is designed to strengthen the company's farm-to-table platform, connecting livestock from Amish farms in Indiana and Ohio directly to consumers, restaurants, grocery stores, and wholesale customers.
The acquisition is expected to immediately add approximately $2 million in existing annual revenue, with the potential for an additional $3 million in the first full year of operations following the acquisition, according to management projections. These figures are based on current assumptions and subject to execution and market conditions. The facility provides year-round slaughter and processing for cattle, hogs, lambs, and goats, including custom and USDA-inspected processing for commercial markets.
Owning USDA-inspected processing capacity would give Naturally Amish greater control over processing schedules, quality, product development, distribution, and margins, while reducing dependence on third-party processors. The facility's location near Amish farms in Indiana and Ohio would also support securing additional cattle processing and supply relationships throughout the Midwest.
Noah Wagler, CEO of Naturally Amish, emphasized the importance of processing in the supply chain: "Processing is one of the most important links between the farmer and the consumer. Acquiring a USDA-inspected facility near our Indiana and Ohio farm network would give Naturally Amish greater control over our supply chain while helping us move products directly from Amish farms into homes, restaurants and grocery stores." He added that vertical integration could create significant competitive advantages in the current environment of high beef prices and limited processing capacity.
The property offers significant expansion opportunities, including increased cattle processing capacity, a second production line, a standalone smokehouse, additional refrigeration and packaging, and potential for private-label and branded products. It also features three-phase electrical service, recent refrigeration upgrades, and wastewater discharge permitting, which management believes could support future growth.
Naturally Amish is also evaluating the introduction of proprietary and patented technologies into the processing operation, which could improve efficiency and product quality, subject to testing and regulatory approvals.
The acquisition would support multiple revenue channels, including direct-to-consumer beef, restaurant and foodservice sales, grocery distribution, private-label production, and USDA processing services for other producers. By controlling processing infrastructure, Naturally Amish aims to strengthen its branded beef business and create additional value for participating Amish farmers.
The transaction remains subject to customary due diligence, definitive agreements, financing, regulatory review, and USDA authority verification. The seller has requested to withhold the facility's name until closing. Additional details will be announced as developments occur.
