Helix BioPharma Corp. (TSX: HBP, OTC: HBPCF, FRANKFURT: HBP0) announced the voting results from its Annual General and Special Meeting of Shareholders held on January 30, 2026. A total of 61,885,815 common shares were voted, representing 81.03% of the company's issued and outstanding shares. Shareholders voted overwhelmingly in favor of all items of business before the Meeting.
All four director nominees listed in the Management Information Circular dated December 15, 2025, were re-elected to hold office for the ensuing year. The directors are Jacek Antas, Jerzy Leszczynski, Janusz Grabski, and Malgorzata Laube. Each received over 99.99% of votes cast in favor, with only a minimal number of votes withheld.
Shareholders also approved the appointment of Clearhouse LLP as auditor of Helix BioPharma until the next annual general meeting, with remuneration to be determined by the directors. The resolution received 99.99% of votes cast in favor.
Additionally, a resolution regarding an amendment to the company's articles to effect a consolidation of issued and outstanding common shares was approved with 99.99% of votes cast in favor. The consolidation ratio, selected by the directors, is up to five pre-consolidation common shares for one post-consolidation common share, with the board authorized to determine the final ratio at its sole discretion.
