Edgewater Wireless Systems Inc. (TSXV: YFI) (OTC: KPIFF), a pioneer in AI-powered Wi-Fi Spectrum Slicing solutions, has closed a private placement that includes a direct strategic investment from Silicon Catalyst Angels I, LLC (SCA). The investment marks the second strategically aligned semiconductor investor to back the company's roadmap, following the first tranche. Additionally, Edgewater Chairman Brian Imrie increased his stake, underscoring insider confidence as the company advances toward prototype validation and commercial engagements.
The financing strengthens Edgewater's position as it progresses its PrismIQ platform and next-generation Spectrum Slicing roadmap. The company is focusing on engineering development, prototype validation, and planned demonstrations for high-reliability Wi-Fi and emerging high-performance applications. With Wi-Fi 7 and beyond offering very wide channels often congested or partially occupied, Edgewater's approach addresses a timely need for intelligent spectrum management.
SCA's investment extends a relationship that began in November 2024 when Edgewater was selected as a Silicon Catalyst Portfolio Company. Since then, Edgewater has gained access to Silicon Catalyst's ecosystem, including over 500 industry experts and several million dollars in in-kind design, fabrication, and commercialization resources. Nick Kepler, Silicon Catalyst's COO, also joined as a Board Observer. This combination of capital, expertise, and industry access is expected to accelerate Edgewater's transition from engineering to execution.

The private placement details: The second tranche comprised 4,799,666 units at $0.06 per unit, raising gross proceeds of $287,979.96, with Chairman Imrie contributing $96,000. Combined with the first tranche, total gross proceeds reached $717,332.70 from 11,955,545 units. Each unit includes one common share and one warrant exercisable at $0.09 for two years. The securities are subject to a statutory hold period until January 9, 2027, and the closing is subject to final TSX Venture Exchange acceptance. Net proceeds will fund semiconductor design, engineering, and product development for the Spectrum Slicing prototype and general working capital.
This investment comes as Edgewater prepares for an initial product release in the first half of 2027. The company expects to achieve important engineering and ecosystem milestones as it moves from validation to execution. SCA, established in 2019, provides seed and Series A funding to Silicon Catalyst Portfolio Companies, leveraging its members' extensive semiconductor industry experience.
The strategic alignment with semiconductor investors is crucial for Edgewater as it seeks to disrupt the Wi-Fi market with its patented Spectrum Slicing technology, which can deliver 10x performance improvements and up to 50% lower latency, even for legacy devices. With 26 patents granted and three AI-related patents pending, Edgewater's fabless model aims to transform Wi-Fi economics for service providers, OEMs, and enterprises.
