Datavault AI Inc. (NASDAQ: DVLT) has announced a definitive agreement to acquire CyberCatch Holdings (TSX.V: CYBE) (OTCQB: CYBHF) for $94.5 million in cash, or $3.53 per share, through a court-approved plan of arrangement. This all-cash transaction is poised to integrate CyberCatch's patented, AI-enabled continuous cybersecurity compliance and risk mitigation platform into Datavault AI's Quantum Private Network (QPN) GPU ecosystem. The move is expected to fortify Datavault AI's offerings with robust cybersecurity measures, particularly for regulated industries.
The acquisition comes at a time when cybersecurity threats are escalating, and regulatory compliance demands are intensifying. CyberCatch's platform leverages generative and agentic AI to continuously assess cybersecurity controls, conduct penetration testing, and measure cyber risk across frameworks such as NIST CSF 2.0, NIST 800-171, CMMC 2.0, ISO 27001, HIPAA, and PCI DSS. By embedding this technology, Datavault AI aims to provide a comprehensive solution that ensures continuous compliance and mitigates cyber risks for its clients.
Following the closing, Datavault AI plans to deploy CyberCatch as the cybersecurity and continuous-compliance layer across its existing technology suite, including DataValue (R), DataScore (R), and Information Data Exchange (R) (IDE (R)), as well as its Acoustic Sciences technologies. This integration is particularly significant for deployments in sectors like healthcare, finance, and government, where data security and compliance are paramount.
CyberCatch is expected to operate as a Datavault AI subsidiary from San Diego, with founder, Chairman, and CEO Sai Huda serving as president of the subsidiary. This leadership continuity is crucial for maintaining the innovative momentum of CyberCatch's platform.
The acquisition is subject to customary board, stock exchange, regulatory, and shareholder approvals. Once finalized, it will mark a strategic expansion for Datavault AI, which is already known for its AI-driven data experiences, valuation, and monetization of assets in the Web 3.0 environment. The company's cloud-based platform serves multiple industries, including high-performance computing software licensing for sports & entertainment, events & venues, biotech, education, fintech, real estate, healthcare, and energy.
Datavault AI's Acoustic Sciences division features WiSA(R), ADIO(R), and Sumerian(R) patented technologies, focusing on spatial and multichannel wireless sound transmission. The Data Science division leverages Web 3.0 and high-performance computing for data perception, valuation, and secure monetization. The Information Data Exchange(R) enables Digital Twins and the licensing of name, image, and likeness by securely attaching physical objects to immutable metadata, fostering responsible AI.
This acquisition underscores Datavault AI's commitment to providing a secure and compliant environment for its AI-driven solutions. By integrating CyberCatch's continuous compliance capabilities, Datavault AI is not only enhancing its own platform but also offering clients a more robust framework to meet regulatory requirements and mitigate cyber threats. As cyber risks continue to evolve, this move positions Datavault AI as a more resilient and trustworthy partner for organizations navigating complex digital landscapes.
